Terms and Conditions

1. Definitions

a. The phrase ‘in writing’, includes email and post sent to the addresses you provide.

b. ‘Product’ means a product displayed for sale on our website.

c. ‘We/us’ means NML Trading Ltd

d. ‘United Kingdom’ or ‘UK’ means England, Wales, Scotland and Northern Ireland.

e. ‘You’ means the user of our website.

2. About Us

a. This shop, as well as the shops in our museums and galleries are run by NML Trading Ltd. NML Trading Ltd is a wholly owned subsidiary of National Museums Liverpool. NML Trading Ltd is VAT registered with VAT registration number: GB 548 8479 80.

b. These are the terms and conditions on which we supply you with products from this online shop; they do not cover the sale of tickets, membership or anything else. You are advised to read them before purchasing any products and retain a copy for your records.

d. By placing an order with us, you agree that we may contact you regarding your order by email or by writing to the postal address that you have supplied. If you contact us regarding something other than any order placed, we may contact you by phone. We will not contact you regarding other offers or promotions unless you opt in to this messaging.

3. Orders

a. By placing an order with us, you agree to these terms and conditions which will apply to your order. This is the entire agreement between us in relation to your order. All orders are subject to the Consumer Contracts Regulations 2013.

b. Follow the onscreen prompts to place an order. An order is an offer, by you, to purchase the specified products subject to these terms. Our order process allows you to view and amend any errors before submission, it is your responsibility to ensure that these details are correct before you place your order.

c. After an order is placed, we will send confirmation that it has been received, this does not mean that your order has been accepted. We will later confirm our acceptance by sending you a dispatch confirmation.

d. All orders will have a unique order number, please retain this and use it in any related communications with us.

e. If we cannot accept your order, for example due to low stock, we will contact you and offer you the choice of a refund or an exchange.

f. Payment for your order will be taken at the point the order is placed.

4. Our Products

a. Pictures of our products are intended for illustrative purposes only, although we try to ensure that they are accurate, we cannot guarantee that they are exactly as they appear. The same disclaimer applies to dimensions and weights which, due to the handmade nature of some products, may sometimes vary.

5. Returns and Refunds

a. In most cases, you may cancel this contract and return your purchases to us within 45 days of receiving them for a full refund. Some items can only be returned if defective, subject to clause 5.b. These are noted individually in product descriptions and include, but are not limited to, earrings and personalised items.

b. Items that are defective, damaged in transit or incorrectly supplied must be reported within 30 days of delivery. Please contact us, including your order number and when the problem that has arisen. We will replace the products or refund their cost.

c. To return an item you must include the product, order reference number, your name and address and whether you are seeking a refund or replacement. Send them to our address as given in clause 2.c. This does not affect your statutory rights.

d. Any refunds will be credited to the same method of purchase that placed the order. The amount you receive may be affected by exchange rates and therefore may be less. We do not accept liability for any shortfall in refunds due to this.

e. We do not refund postage costs for refunds unless an item is faulty. You are responsible for the order until we receive it.

f. We do not refund or exchange personalised gifts unless faulty.

6. Delivery

a. We aim to dispatch orders within 3 working days. Once orders have been dispatched you will be sent an email confirmation as discussed in clause 2.c. However please allow five working days before contacting us regarding late delivery. They typically take between 1 to 5 days to be delivered within the UK and 3 to 10 days internationally.

b. Delivery is complete once the products have been delivered to the address given, the products will be at your risk from this time. We do not use order tracking on our products. Product from a single order may sometimes be sent in more than one shipment, you will only be charged once.

c. If you order products for delivery internationally, your order may be subject to import duties or taxes. We have no control over these charges and you are responsible for their payment.

d. You are responsible for ensuring that you comply with relevant regulations of the country to which products are shipped. We are not liable if you break any such law.

e. You own the products once we have received payment in full, including delivery costs. If we fail to deliver products, we will offer you a replacement or refund subject to clauses 5.d and 5.e.

f. If you fail to take delivery of the products, they may ultimately be returned to us by our courier. In this case we will contact you and offer to either refund it (subject to clauses 5.d and 5.e) or send it again at no extra charge. If you fail to take delivery of the products again we will cancel this contract and refund you, subject to clauses 5.d and 5.e.

7. Pricing and Payment

a. Although every effort is made to avoid it, it is possible that the price of products will be listed incorrectly. If you order a product that has been incorrectly priced we may delay shipping the item and contact you to offer you either a full refund (subject to clause 5.d) or the option to continue the order at the correct price, which may incur you a greater charge.

b. Product pricing may sometimes change as part of the regular running of our shop however will not affect you once an order has been placed so long as the price was correct when the order was placed.

c. Pricing of products does not include shipping charges, you can find these on our dedicated page and they will be shown to you before you complete your order.

d. The price of products includes VAT (where it applies) at the current rate. If the rate changes after you order and you have not yet paid for the products in full, we will adjust the VAT you pay. We do not currently offer a VAT exemption service for purchases outside the EU.

e. Payment for products and all other charges must be made or received in advance.

8. Our Warranty

a. We do not warrant that our products will comply with laws or standards outside of the UK. We do warrant that on delivery our products will conform with their descriptions (subject to clause 3.a) and be of the standard that a reasonable person would regard as satisfactory.

b. We will not be liable for a breach of this warranty if: i. you make further use of the products after notifying us that they are faulty as described in clause 5.b ii. the fault arising as a result of us following your directions iii. you alter the products without our written consent, or iv. the defect results from reasonable wear and tear, willful damage or abnormal conditions.

c. If you give us notice, in writing, within a reasonable time of discovery that some or all of the products do not comply with the warranty set out in clause 8.a you must give us a reasonable opportunity to examine the products including returning the products to us. Subject to clause 5.b if our products are faulty, we will refund the cost of shipping. You can opt for a full refund or alternately we will decide to repair or replace the defective products.

9. Our Liability

a. We only supply these products for your personal use and you agree not to use them for resale purposes.

b. Subject to clause 8.c, we will not be responsible or liable for:

i. Any loss of profits, sales or revenue
ii. Any loss of business opportunity
iii. Any loss of anticipated savings
iv. Loss of goodwill, or
v. Any other indirect or inconsequential loss.

c. We are not excluded from our liability for:

i. Death or personal injury caused by our negligence
ii. Fraud or fraudulent behaviour
iii. Breach of the terms implied by section 12 of the Sale of Goods Act 1979, or
iv. Any other liability that cannot be excluded under law.

d. Subject to clause 8.b, our total liability to you for any losses arising from this contract, will not exceed the price of the products.

e. Other than as stated in this contract, we do not give any warranties in relation to our products. Any other condition or warranty which might be implied or by this contract or by statute or law is excluded to the fullest extent permitted by law. In particular, we will not be responsible for ensuring that our products are suitable for your purposes.

10. Termination

a. Without limiting any of the other rights laid out in this contract, or in laws or statutes, we may suspend the supply or delivery of products to you, or terminate the contract with immediate effect by giving you written notice.

b. Any provision of this contract that is intended to come into or continue in force on or after termination shall remain as such.

11. Events Beyond Our Control

a. We will not be liable for any failure or delay to perform any of our obligations under this contract caused by an event beyond our reasonable control.

b. If an event beyond our control takes place that will cause a failure or delay to perform our obligations under this contract, we will contact you as soon as possible and our obligations under the contract will be suspended for the duration of the event outside of our control.

c. You may cancel the contract affected by any event outside our control. In this case any products you have received should be sent back. We will refund the full cost including postage.

12. Communications

a. Any communication from or to us in relation to this contract must be given in writing and either delivered personally, sent by pre-paid first class post or by email.

b. A notice or communication is deemed to have been received at 9:00am the next working day, or two working days in the case of posting.

c. To prove that communication has been sent, it is sufficient to prove that it was correctly addressed, and in the case of postage that it was additionally stamped and posted correctly.

d. Clauses 12.a – 12.c shall not apply in the case of documents relating to legal action.

13. Membership

a. Customers who have membership to National Museums Liverpool are entitled to a discount of up to 15% on the products that they purchase. This discount may be obtained through the use of an issued discount code.

b. The use of an issued discount code by someone who is not a member, regardless of their previous membership status or the person for whom a product is intended, shall be deemed fraudulent.

c. In the case that we suspect a discount code is being used fraudulently, we reserve the right to cancel this contract subject to clauses 10.a and 10.b.

d. Clauses 13.a – 13.c shall not negate or override any other terms and conditions relating to membership to National Museums Liverpool.
